Creator-Fan Contract

1. What this Contract is and who the parties are

1.1 This Creator/Fan Contract ("this Contract") sets out the terms that govern each interaction between a Creator and a Fan on Heduno (each a "Creator/Fan Interaction" or "Interaction"). Each time an Interaction is initiated, this Contract applies to that Interaction and binds the Creator and the Fan participating in it, to the exclusion of any other terms either party may propose.

1.2 The parties to this Contract are the Creator and the Fan. Heduno is not a party to it and grants no rights under it, except that Heduno acts as payment intermediary under clause 5. This applies wherever the Fan accesses Heduno — heduno.com, a heduno-hosted page, or a Creator's own domain (for example, [creatorname.com]); in every case Heduno is the payment intermediary, not the individual Creator.

1.3 Heduno's responsibilities as the service provider — including its online-safety duties, moderation and complaints handling under the Terms of Service — apply to Heduno regardless of this Contract. The fact that Heduno is not a party to this Contract does not affect those responsibilities, nor Heduno's treatment, for tax purposes, as the deemed supplier of the digital content and services to the Fan (Terms of Service clause 8.4).

2. Interpretation

2.1 Defined terms have the meaning given in the Terms of Service. In addition, in this Contract:

  • "Custom" means a Custom Request or a Custom Offering;

  • "Payment" means the amount payable by the Fan for an Interaction (the price published on the Creator's Account, plus any applicable sales tax or VAT), consistent with the definition of Payment in the Terms of Service;

  • "Relevant Content" means the Content to which an Interaction relates;

  • "Wallet" has the meaning given in the Terms of Service.

3. Entering an Interaction and price

3.1 By entering into an Interaction, the Fan agrees to make the Payment for it at the price published on the Creator's Account, plus any applicable VAT.

3.2 VAT and other applicable tax are accounted for on the deemed-supplier basis set out in clause 8.4 of the Terms of Service: UK VAT for UK consumers; EU VAT (via the One-Stop-Shop) for EU consumers; and any other applicable sales or similar tax for consumers in jurisdictions where Heduno is required to charge it.

4. Access to the Relevant Content, age assurance and the licence

4.1 Access is contingent on age assurance. Where the Fan has completed the Payment and is Verified (see clause 5 of the Terms of Service), the Creator grants the Fan a limited licence to access and view the Relevant Content on Heduno.

4.2 Licence scope. The licence is non-transferable, non-sublicensable and non-exclusive, and permits viewing on Heduno only. The Fan must not record, copy or save the Relevant Content, and must view it only on Heduno. Breach may result in suspension or termination. The Fan acquires no rights in the Relevant Content, which remain with the Creator.

4.3 When the licence ends. The licence expires automatically, without notice, if: the Payment is unsuccessful, charged back or reversed; for a Subscription, at the end of the subscription period unless it renews; the Fan's Account is suspended, terminated or closed; the Fan breaches the Terms of Service or these Fan-facing terms; or the Content is removed from the Creator's Account. Pay-Per-View Content the Fan has purchased remains accessible while the Fan's Account is active (it does not expire after a single view).

5. Payment intermediary

5.1 The Creator and the Fan each authorise Heduno (and its payment processor) to act as payment intermediary for the Interaction, and to: collect, hold and process the Payment and any applicable VAT; deduct Heduno's commission as set out in the Creator Terms; and pay the sums due to the Creator and, where applicable, to a Registered Referrer under the Referral Programme.

5.2 This clause is the authority referred to in clause 1.2.

6. Your consumer cancellation rights

6.1 The Relevant Content is digital content supplied to the Fan. At the point of purchase, the Fan is asked to confirm that they request immediate supply of the Relevant Content and that they acknowledge that, once supply has begun, they lose the 14-day right to cancel that would otherwise apply to digital content under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and, for EU consumers, the equivalent right under the Consumer Rights Directive. Completion of the Interaction is conditional on that confirmation. Heduno will provide the Fan with confirmation of this consent and of the loss of the right to cancel on a durable medium (by email or in-Account message) on or promptly after completion of the Interaction.

6.2 Clause 6.1 does not affect the Fan's other statutory rights, including under the Consumer Rights Act 2015 if the Content is faulty, not as described or not of satisfactory quality.

7. Chargebacks and refunds

7.1 If the Fan believes a Payment is wrong, the Fan should first use Heduno's refund and complaints process (see the Fan Terms and the Complaints & Appeals Policy) so it can be put right. The Fan agrees not to initiate a chargeback without first using that process, and not to make a chargeback the Fan knows to be unjustified.

7.2 If a Fan initiates a chargeback with their card provider that Heduno determines, acting reasonably to be without merit — including where the Fan has accessed the Relevant Content, where the Fan previously confirmed the transaction, or where the Fan has not first used Heduno's refund and complaints process under clause 7.1 — Heduno may, in its discretion, take one or more of the following steps: suspend the Fan's Account, terminate the Fan's Account, or permanently bar the Fan from registering a new Account.

7.3 Before taking action under clause 7.2, Heduno will notify the Fan and give them a reasonable opportunity to respond. The Fan may appeal any decision under the Complaints & Appeals Policy.

7.4 Nothing in this clause affects the Fan's right to bring a legitimate chargeback or dispute a Payment through their card provider or under any applicable law. This clause applies only to chargebacks that are found to be without merit following Heduno's review.

8. Customs

8.1 Where the Fan has purchased a Custom and the Creator rejects it, or the agreed timeframe elapses without delivery, the funds are credited to the Fan's Wallet.

9. The Creator's responsibilities

9.1 The Creator must make the Relevant Content available once the Payment has been made (subject to clause 4 on age assurance).

9.2 The Creator warrants that it holds all rights necessary to license the Relevant Content in the territory where the Fan accesses it, and has all permissions and consents needed to grant the licence.

9.3 The Creator is solely responsible for creating and uploading the Relevant Content and gives no guarantee of ongoing creation. Unless there has been negligence or other breach of duty by the Creator, accessing the Content is at the Fan's own risk.

10. Availability of Content

10.1 Creators may add or remove Content at any time and decide what to make available. There may be circumstances in which the Relevant Content cannot be accessed — for example, if the Creator's or the Fan's Account is suspended or deleted, if Heduno is unavailable, or if the Creator does not create or upload further Content.

11. Governing law and your consumer rights

11.1 This Contract is governed by English law. If the Fan is a consumer, the Fan can also rely on the mandatory consumer-protection rules of the country where the Fan lives. Claims may be brought in the courts of England and Wales.
