Partner Terms
Effective date: 2 November 2026
These Partner Terms apply when you work with Heduno as a Partner. They set out what we require of every Partner. Your fees, revenue share, payment timings and any terms specific to your partnership are set out in your Partner Agreement, which you sign separately. Defined terms have the meaning given in the Terms of Service, and in clause 2 below.
1. The documents that apply to you
1.1 As a Partner, these Partner Terms apply together with: your Partner Agreement; the Terms of Service (including the Acceptable Use Policy at clause 6); the Privacy Policy; the Community Guidelines; the Complaints & Appeals Policy; and the DMCA / Copyright Policy.
1.2 Order of precedence. If these Partner Terms conflict with your Partner Agreement, your Partner Agreement prevails. If these Partner Terms conflict with the Terms of Service, these Partner Terms prevail on matters relating to your role as a Partner.
1.3 If you also use Heduno as a Creator or a Fan, the Creator Terms or the Fan Terms apply to that use as well.
2. Definitions
In these Partner Terms:
- "Partner" means a business or individual that has signed a Partner Agreement with us. A Partner may be one or more of the following:
- an Affiliate, who promotes Heduno or its Creators;
- a White-Label Partner, who operates a branded site on Heduno; and
- a Content Partner, who licenses Content to us to publish and sell on Heduno.
- "Partner Agreement" means the agreement signed between you and us, including its schedules.
- "Partner Dashboard" means the area of Heduno you access as a Partner, using the same sign-in as the Creator dashboard.
- "Partner Site" means any site or domain on which a White-Label Partner presents Heduno, including any Creator pages on it.
- "Partner Creator" means a Creator who joins Heduno through, or is presented on, a Partner Site, or who is introduced to Heduno by you.
- "Your Team" means anyone you allow to act for you, including your employees, contractors and agents.
3. Becoming and remaining a Partner
3.1 To become a Partner you must accept these Partner Terms, sign a Partner Agreement and complete the business and identity checks we ask for. We may decline any application.
3.2 You must give us accurate information about yourself and your business and keep it up to date, including your legal name, registered address, ownership, tax details and bank details.
3.3 You are responsible for keeping access to the Partner Dashboard secure and for everything done through it. You must make sure Your Team complies with these Partner Terms, and you are responsible for their acts and omissions as if they were your own. Tell us straight away at support@heduno.com if you think your access has been misused.
3.4 You act as an independent business. Nothing in these Partner Terms creates a partnership, joint venture, employment or agency relationship, and you must not say or imply that you can bind us.
4. Partner Sites and domains (White-Label Partners)
4.1 You are responsible for registering and holding the domains you use for Partner Sites, and for any third-party costs of them. You must point each domain to Heduno as we instruct and keep it registered while it is in use.
4.2 We operate Heduno on each Partner Site. You must not alter, remove, hide or work around any of the following on a Partner Site:
- (a) age assurance, sign-up, sign-in or checkout;
- (b) links to the Terms of Service, Privacy Policy, Fan Terms, Creator Terms or other policies;
- (c) the cookie banner and any consent controls;
- (d) the "Report" function, or any other safety, moderation or complaints feature; or
- (e) any "Powered by Heduno" notice we require.
4.3 You must not add scripts, trackers, pixels, forms or third-party code to a Partner Site, or collect information from its visitors, unless we have agreed it in writing.
4.4 You must not present a Partner Site in a way that suggests anyone other than Heduno is the supplier to Fans or processes their payments.
4.5 When your Partner Agreement ends, the wind-down arrangements for Partner Sites in your Partner Agreement apply. If it says nothing, clause 10.1(d) of the Terms of Service applies.
5. Creators
5.1 Every Creator, including every Partner Creator, has their own Heduno Account and their own agreement with us. We pay Creator Earnings directly to the Creator, unless an earnings split applies under clause 5.2.
5.2 Earnings splits. A Creator may agree to share their Creator Earnings with you. Where they do:
- (a) the split must be set up through Heduno, and the Creator must confirm it in their own Account before it takes effect;
- (b) the Creator can see the split, and what is paid to each party, in their Account;
- (c) we pay each party's share directly to that party. We do not pay the Creator's share to you, or yours to the Creator;
- (d) a split can be changed only with the Creator's confirmation in their Account. You or the Creator can end it at any time in Heduno, with immediate effect. It also ends on any end date agreed when it was set up; and
- (e) Our Commission is deducted before the split is applied. Refunds and chargebacks are shared in the same proportion as the split.
5.3 You must not:
- (a) help or encourage anyone to avoid or get around identity verification, age assurance or the consent requirements for Collaborative Content;
- (b) ask for, hold or use a Creator's sign-in details, or access a Creator's Account unless the Creator has added you as their manager through Heduno;
- (c) receive, control or redirect a Creator's earnings, or require a Creator to pay you any part of them, other than through an earnings split under clause 5.2;
- (d) pressure, coerce or mislead a Creator, including about what they will earn or about the content they must make; or
- (e) introduce anyone you know, or reasonably suspect, to be under 18, or to be acting under someone else's control.
5.4 If you suspect a Creator is under 18, is being exploited or controlled by someone else, or is not who they say they are, you must tell us straight away at support@heduno.com. For anything involving immediate danger, contact the emergency services first.
6. Content (Content Partners)
6.1 Before any Content you supply is published, every person shown in it must have passed our identity and age checks, and you must give us the signed consents and evidence of ownership we ask for. Content Partner obligations are set out in full in your Partner Agreement.
6.2 You warrant that you own, or are licensed to supply, all Content you give us, and that it complies with the Acceptable Use Policy.
7. Content, conduct and safety (all Partners)
7.1 You must comply with the Acceptable Use Policy (clause 6 of the Terms of Service) and the Community Guidelines in everything you do as a Partner, including on Partner Sites and in your marketing.
7.2 You must report illegal Content, and anything that appears to involve a child, non-consensual Content or trafficking, to us straight away using the "Report" function or support@heduno.com.
7.3 You must cooperate with our moderation, takedown, complaints and record-keeping processes, and respond to our reasonable requests for information within 5 business days, or sooner where we say a matter is urgent.
8. Fan and Creator data
8.1 Joint controllers. You and we are joint controllers of the personal data of Fans and Creators who join Heduno through your Partner Sites ("Your Site Users"). The arrangement between us is summarised in this clause 8 and set out in full in your Partner Agreement. Our Privacy Policy tells Your Site Users about it when they sign up.
8.2 Who does what while you are a Partner. While your partnership continues:
- (a) we hold and run all personal data of Your Site Users on Heduno, including their accounts, payments, age assurance and messages;
- (b) we handle privacy notices, data subject requests, security, breach notification and dealings with data protection regulators, and we are the contact point for Your Site Users about their data;
- (c) you see only what the Partner Dashboard shows: each Partner Creator's content, posts, subscriptions, custom requests, sales and earnings, and Fans' usernames and purchases on your Partner Sites. You do not see Fans' email addresses, contact details, payment details, verification data or the contents of messages; and
- (d) you may use what you see only to run and grow your Partner Sites and support your Partner Creators, and not to identify, contact or profile individual Fans.
8.3 You must not collect, copy, scrape, export, sell or reuse any personal data of Fans or Creators, or contact them outside Heduno using information obtained through Heduno, unless we have agreed it in writing or clause 8.6 applies.
8.4 You must keep any personal data you see as a Partner confidential and secure, and tell us within 24 hours of becoming aware of any actual or suspected unauthorised access to it. You must pass to us straight away any request or complaint you receive from anyone about their personal data on Heduno.
8.5 Each of us is responsible for complying with data protection law in the parts of the arrangement it controls, as allocated in clause 8.2 and your Partner Agreement.
8.6 When your partnership ends. When your partnership ends, we will give you the personal data of Your Site Users set out in your Partner Agreement, provided you are not in material breach of these Partner Terms and only where data protection law allows. We will not give you payment, verification or message data. From the point we give it to you:
- (a) you are solely responsible for that data and for complying with data protection law in using it;
- (b) you must give Your Site Users your own privacy notice within one month, and honour any objection or request they make;
- (c) you may send marketing to a person only where they have consented to marketing from you, or where the law otherwise allows it, and you must honour any opt-out they gave us; and
- (d) you must not sell it or pass it to anyone else.
8.7 Personal data of Fans and Creators who did not join through your Partner Sites is controlled by us alone, and is not covered by clause 8.6.
9. Marketing and promotion
9.1 You may promote Heduno, Partner Sites and Creators only by lawful means and in line with any brand guidelines we provide. In particular, you must:
- (a) comply with advertising law and codes that apply where you advertise (in the UK, including the CAP Code and the Consumer Protection from Unfair Trading rules);
- (b) clearly disclose that you are paid to promote Heduno or a Creator where the law or the platform you use requires it;
- (c) send marketing emails or messages only to people who have validly consented, and comply with the Privacy and Electronic Communications Regulations or equivalent law;
- (d) never target, or knowingly allow your marketing to reach, people under 18; and
- (e) comply with the rules of any platform or ad network you use, including rules on adult content.
9.2 You must not:
- (a) make misleading claims, including about prices, what Fans will receive, or what Creators will earn;
- (b) use fake reviews, testimonials or endorsements, bought engagement, spam or misleading redirects;
- (c) bid on, or use, the Heduno name or trade marks (or anything confusingly similar) in paid search or paid advertising, or register a domain or social account containing them, without our prior written consent; or
- (d) impersonate Heduno or suggest that we endorse you beyond your status as a Partner.
10. Payments and tax
10.1 What we pay you, how it is calculated and any reserve or hold are set out in your Partner Agreement. Your earnings are shown in the Partner Dashboard, and an admin on your account can request a payout of your available balance, subject to any minimum payout amount shown there. We review each request and confirm when the payment has been sent.
10.1A We provide a statement with each payout. If you are registered for VAT, you must give us your VAT number in the Partner Dashboard, and the self-billing terms in your Partner Agreement apply.
10.2 You must not take payment from Fans or Creators for anything sold on Heduno, or direct them to pay outside Heduno.
10.3 You are responsible for your own tax affairs, including reporting what we pay you and accounting for any VAT or similar tax on what we pay you.
10.4 We may withhold or set off amounts due to you as set out in your Partner Agreement, including where we reasonably suspect a breach of these Partner Terms, fraud, or a chargeback or refund connected to activity you are paid for.
11. Partner Dashboard and reporting
11.1 Information in the Partner Dashboard is confidential (see clause 13). Tell us within 30 days if you think any reporting is wrong; we will look into it in good faith.
11.2 You must not access, or try to access, any part of Heduno or any data you are not authorised to, or copy, reverse engineer or interfere with Heduno.
12. Trade marks and intellectual property
12.1 We grant you a non-exclusive, non-transferable, revocable licence to use the Heduno name and logos only as needed to perform your Partner Agreement and only in line with our brand guidelines. The licence ends when your Partner Agreement ends.
12.2 You grant us a non-exclusive licence to use your name and logos to present Partner Sites and to describe our relationship with you, for the length of your Partner Agreement.
12.3 All rights in Heduno, the Partner Dashboard and our technology remain ours.
13. Confidentiality
13.1 Each of us must keep the other's confidential information confidential and use it only to perform the Partner Agreement. This includes the terms of your Partner Agreement, the Partner Dashboard, reporting, pricing and our technology.
13.2 This does not apply to information that is public through no fault of the receiving party, or that must be disclosed by law, by a regulator, or by a card scheme or payment provider.
14. Compliance
14.1 You must comply with all laws that apply to your activities as a Partner, including anti-bribery, anti-money-laundering, sanctions, modern slavery and human trafficking laws.
14.2 You must comply with the card scheme and payment provider requirements we tell you about, including those that apply to adult content. We may share information about you and your Partner Sites with our payment providers and regulators where we are required to.
14.3 You must keep reasonable records of your activities as a Partner and give us access to them on reasonable request, so we can check your compliance with these Partner Terms.
15. Suspension and termination
15.1 We may suspend your access to the Partner Dashboard, any Partner Site, or payments to you straight away if we reasonably believe that:
- (a) you have breached these Partner Terms or your Partner Agreement;
- (b) a Partner Site or your activity puts Users at risk, or breaches the law, a card scheme rule or a payment provider requirement; or
- (c) we are required to by law, a regulator or a payment provider.
15.2 Termination and its effects are set out in your Partner Agreement. When your partnership ends, Partner Creators keep their Heduno Accounts and their agreements with us continue. Any earnings split with you ends on the same date unless the Creator confirms otherwise in Heduno.
15.3 Clauses 8, 10.3, 10.4, 12.3, 13, 16 and 18 continue after your partnership ends.
16. Liability and indemnity
16.1 You will indemnify us against loss we suffer as a result of: your breach of these Partner Terms; your marketing; your domains and Partner Sites (other than the Heduno service we operate on them); and the acts and omissions of Your Team.
16.2 Limits on each party's liability are set out in your Partner Agreement. Nothing limits liability that cannot be limited by law.
17. Changes to these Partner Terms
17.1 We may change these Partner Terms by giving you at least 30 days' notice by email or through the Partner Dashboard. If you do not accept a change, you may end your Partner Agreement before the change takes effect, as set out in your Partner Agreement.
17.2 We may make a change with shorter notice where required by law, a regulator or a payment provider, or to address a security or safety risk.
18. Governing law
18.1 These Partner Terms, and any dispute arising from them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
